1. Who We Are
EquityMarker is a cap-table and equity-administration platform operated by
Level Metrics LLC, 200 E. Van Buren Street, 6th Floor, Phoenix, AZ 85004.
In this policy, “we,” “us,” and “EquityMarker” mean
Level Metrics LLC. This policy applies to
www.equitymarker.com and to the EquityMarker
application.
2. Information We Collect
Information you give us
- Account and identity information — name, work email address, mailing address, and password.
- Mobile telephone number — collected at sign-up and used to deliver account security codes. See Section 4.
- Company and equity records — entity details, share ledgers, option grants, SAFEs, convertible notes, board material, and supporting documents that you or your organization upload.
- Support correspondence — the content of messages you send to our support team.
Information we collect automatically
- Sign-in timestamps, IP address, browser and device type, and pages accessed, retained as a security and audit record.
- Strictly necessary cookies used to maintain your authenticated session.

Analytics on our public website only. On
www.equitymarker.com and the other
pages you can reach without signing in, we use Google Analytics and Google Ads
to measure how people find us, and Microsoft Clarity to record anonymised page
interactions so we can see where our own pages are confusing. These set cookies
and are operated by Google and Microsoft respectively, under their own privacy
terms.

None of that runs once you are signed in. No analytics,
advertising or session-recording tool of any kind loads on the application
itself. Your cap table, your shareholders, your grants and your valuations are
never sent to a third-party analytics service, and no recording is ever made of
a screen showing them. This is enforced in the application code, not by a
setting in someone else's dashboard.
3. How We Use Information
- To create and administer your account and your organization's workspace.
- To authenticate you, including by sending one-time verification codes by SMS.
- To maintain the equity, governance, and audit records your organization keeps on the platform.
- To detect, investigate, and prevent fraud and unauthorized account access.
- To respond to your support requests.
- To meet our legal, tax, and regulatory obligations.
We do not sell personal information. We do not use your information to serve you
third-party advertising.
4. SMS and Mobile Information
We use your mobile telephone number for one purpose: to send you a one-time verification
code when you create an EquityMarker account, when you sign in, and when you accept an
invitation to an organization. These are account security messages. We do not send
marketing or promotional text messages.
Your mobile information will not be sold or shared with third parties for promotional or
marketing purposes.
All of the categories of sharing described in Section 5 exclude text messaging originator
opt-in data and consent; this information will not be shared with any third parties.
We will not share your opt-in to an SMS campaign with any third party for purposes
unrelated to providing you with the services of that campaign. We may share your personal
data, including your SMS opt-in or consent status, with third parties that help us provide
our messaging services, including but not limited to platform providers, phone companies,
and any other vendors who assist us in the delivery of text messages.
Frequency, cost, and opting out
- Message frequency varies and depends on your own sign-in activity. You receive a message only when you request a code.
- Message and data rates may apply.
- Reply HELP to any message for assistance, or contact us using the details in Section 10.
- Reply STOP to any message to stop receiving text messages. Because these messages are how we verify your identity, opting out may prevent you from signing in.

5. How We Share Information
We share personal information only in the circumstances below.
- Within your organization. Equity and governance records are shared with other users of your organization according to the permissions your administrators assign.
- Service providers. Vendors who host our infrastructure, deliver our email, and deliver our text messages, acting on our instructions and bound to protect the information.
- Legal and safety. Where required by law, subpoena, or court order, or to protect the rights, property, or safety of EquityMarker, our users, or the public.
- Business transfer. In connection with a merger, acquisition, or sale of assets, subject to this policy.
We do not sell personal information, and we do not share personal information with
affiliates or third parties for their own marketing purposes.
6. How We Protect Information
Traffic to and from EquityMarker is encrypted in transit. Access to equity and governance
records is controlled by a per-organization permissions model, and changes to records are
written to an audit trail. Access to production systems is limited to personnel who need it.
No method of transmission or storage is completely secure, and we cannot guarantee absolute
security.
7. Retention
We retain account and equity records for as long as your organization maintains an
EquityMarker account, and afterward for the period required to meet our legal, tax, and
recordkeeping obligations. Verification codes are short-lived and expire within minutes of
being issued.
8. Your Choices and Rights
- You may review and update your profile information from your account settings.
- You may stop text messages at any time as described in Section 4.
- Depending on where you live, you may have the right to request access to, correction of, or deletion of your personal information. Contact us using the details in Section 10 and we will respond as the applicable law requires.
Where your organization controls the records, we may direct your request to that
organization's administrator.
9. Children
EquityMarker is a business product and is not directed to children. We do not knowingly
collect personal information from anyone under 18.
